End-User License Agreement (EULA) of Summa

This End-User License Agreement ("EULA") is a legal agreement between you and Summa.

This EULA agreement governs your acquisition and use of our Summa software ("Software") directly from Summa or indirectly through a Summa authorized reseller or distributor (a "Reseller").

Please read this EULA agreement carefully before completing the installation process and using the Summa software. It provides a license to use the Summa software and contains warranty information and liability disclaimers.

If you register for a free trial of the Summa software, this EULA agreement will also govern that trial. By clicking "accept" or installing and/or using the Summa software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Software supplied by Summa herewith regardless of whether other software is referred to or described herein. The terms also apply to any Summa updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

Summa hereby grants you a personal, non-transferable, non-exclusive licence to use the Summa software on your devices in accordance with the terms of this EULA agreement.

You are permitted to load the Summa software (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Summa software.

You are not permitted to:

You acknowledge and agree that you are solely responsible for any Content that you transmit or display through the Software or Services and that Summa (and Apple or Google if you downloaded the Software from the App Store or Google Play) is not responsible to you or any third party in connection with any Content. You further agree to pay for all royalties, fees, and any other monies owing any person by reason of any of your Content. In addition, you represent and warrant that: (a) you are the creator and owner of or have the necessary rights to transmit or display the Content; and (b) the Content you transmit or you display does not and will not: (i) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right, or (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person. VIOLATORS OF THESE THIRD-PARTY RIGHTS MAY BE SUBJECT TO CRIMINAL AND CIVIL LIABILITY. Summa RESERVES ALL RIGHTS AND REMEDIES AGAINST ANYONE WHO VIOLATES ANY OF THE PROVISIONS OF THIS TERMS OF USE.

By using the Service, you agree that you will not:

  • use the Service for any purpose that is illegal or prohibited by this Agreement.
  • use the Service for any harmful or nefarious purpose
  • use the Service in order to damage Summa
  • violate our Community Guidelines, as updated from time to time.
  • spam, solicit money from or defraud any members.
  • impersonate any person or entity or post any images o
  • f another person without his or her permission.
  • bully, "stalk", intimidate, assault, harass, mistreat or defame any person.
  • post any Content that violates or infringes anyone's rights, including rights of publicity, privacy, copyright, trademark or other intellectual property or contract right.
  • post any Content that is hate speech, threatening, sexually explicit or pornographic.
  • post any Content that incites violence; or contains nudity or graphic or gratuitous violence.
  • post any Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual.
  • solicit passwords for any purpose, or personal identifying information for commercial or unlawful purposes from other members or disseminate another person's personal information without his or her permission.
  • use another member's account, share an account with another member, or maintain more than one account.
  • create another account if we have already terminated your account, unless you have our permission.
  • Summa reserves the right to investigate and/or terminate your account without a refund of any purchases if you have violated this Agreement, misused the Service or behaved in a way that Summa regards as inappropriate or unlawful, including actions or communications that occur on or off the Service. In the event that you violate these rules or our Community Guidelines, your authorization to use the Service will be automatically revoked.

    Intellectual Property and Ownership

    Summa shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Summa.

    Summa reserves the right to grant licences to use the Software to third parties.

    Termination

    This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Summa.

    It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

    Governing Law

    This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of hk.
